Preamble
LION DISTRIBUTION (owner of the UTO brand), a simplified joint-stock company with share capital of €10,810.00, whose registered office is located at 6 rue Georges Besse, 69740 Genas, registered with the Lyon Trade and Companies Register under number 833 915 630 R.C.S. Lyon, offers folding and compact bicycles, as well as accessories and services, for sale on its website. For any questions, you may contact UTO by email at the following address: hello@utobikes.com.
1 - Definitions
Each of the terms referred to below shall have the following meaning in these General Terms and Conditions:
Customer: means any adult natural person qualifying as a consumer within the meaning of the French Consumer Code (“any natural person acting for purposes which are outside their trade, business, craft, liberal or agricultural activity”), who has placed one or more Order(s).
Order: means the agreement given by a Customer to UTO in relation to a Product and/or Service via the Website, in consideration for the payment of a fixed amount.
Customer Account: means an account created by a Customer on the Website for the purpose of placing an Order.
General Terms and Conditions: means these general terms and conditions of sale.
Partners: means third-party legal entities independent from UTO offering their Services via the Website.
Party/Parties: means the Customer and/or UTO.
Privacy Policy: means UTO’s privacy policy available at the following address:

Product: means an electric bicycle or accessory presented on the Website and intended for sale to the Customer.
Services: means the services provided to the Customer by the Partners, consisting of insurance products which may, at the Customer’s choice, be sold together with the Products. The Services are subject to the contractual terms and conditions of the Partners, to which UTO is not a party.
Website: means the website owned by UTO under the domain name www.utobikes.com (or any other domain name that may replace it).
2. Purpose
2.1 The General Terms and Conditions govern (i) the terms under which Products supplied by UTO are sold to the Customer and (ii) the respective rights and obligations of UTO and the Customer as set out below.
2.2 These General Terms and Conditions prevail over any other document. They therefore constitute the entirety of the terms and conditions agreed between the Customer and UTO. They replace all prior documents, agreements and communications, whether verbal or otherwise.
3. Duration
3.1 These General Terms and Conditions apply for an indefinite period.
3.2 They enter into force on the date they are accepted by the Customer.
4. Acceptance and amendment of the General Terms and Conditions
4.1 The General Terms and Conditions are made available to the Customer when accessing the Website. They are also available when the Customer creates a Customer Account and during the Order process.
4.2 By clicking the “Accept” button, the Customer acknowledges having read and agrees to accept all provisions applicable to them in the General Terms and Conditions.
4.3 Any Order for Products or Services, delivery of Products or performance of Services is subject to the Customer’s unconditional acceptance of and compliance with all the provisions of these General Terms and Conditions.
4.4 The General Terms and Conditions applicable to the Customer are those in force on the date of the Order.
4.5 UTO reserves the right to amend the General Terms and Conditions, in whole or in part, at any time according to its requirements and the development of the Products and Services. However, such new General Terms and Conditions shall apply only to Orders placed after their effective date, unless they have been notified by UTO and accepted by the Customer.
4.6 The Customer certifies that they have the legal capacity to accept the General Terms and Conditions and undertakes to comply with them.
4.7 Where the Customer accepts the General Terms and Conditions on behalf of a legal entity, the Customer certifies that they have the right and authority to do so.
5. Ordering terms
5.1 Characteristics of Products and Services
5.1.1 In accordance with Article L.111-1 of the French Consumer Code, before placing an Order, the Customer may consult on the Website the essential characteristics of the Products and Services they wish to order.
5.1.2 The Customer may select one or more Products and/or Services from the different categories offered on the Website.
5.1.3 Offers presented by UTO are valid while stocks last.
5.1.4 UTO presents the essential characteristics of the Products and Services offered for sale in order to inform the Customer. Photographs and graphic representations illustrating the Products and Services are not contractually binding.
5.2 Creation of the Customer Account
5.2.1 Before placing any Order, the Customer must first create a Customer Account by providing, in particular, a valid email address, or log into their Customer Account using their email address and the password entered when the account was created.
5.2.2 The data requested by UTO is collected for the purpose of ensuring the proper delivery of the Products and performance of the Services. The Customer is therefore informed that the requested information must be duly provided before any delivery of Products or performance of Services.
5.2.3 UTO reserves the right to request any missing or additional information from the Customer that is necessary for the proper delivery of the Products or performance of the Services.
5.2.4 The information provided must be complete, accurate and up to date, which the Customer guarantees. If any information changes between the date of the Order and the date of delivery of the Products or during the performance of the Services, the Customer undertakes to update this information by informing UTO of the changes to be made at least 5 days before the delivery of the Products and/or Services.
5.2.5 The Customer remains solely responsible for any use made of their Customer Account and therefore undertakes to keep their login details and password strictly confidential.
5.2.6 Once the Customer Account has been created or the Customer has logged into the Customer Account, the Customer may place the Order and pay the price of the Products and Services online.
5.3 Order Confirmation
5.3.1 The Customer wishing to order Products and/or Services offered by UTO selects the chosen Product(s) and/or Service(s) and adds them to their shopping cart. The process is repeated for each Product and/or Service they wish to order.
5.3.2 Before confirming the Order, the Customer reviews their shopping cart, which sets out the essential characteristics of the Products and/or Services ordered. At this stage, the Customer may amend the Order by removing or adding Products and/or Services.
5.3.3 If the Customer decides to purchase the selected Products and/or Services, after validating the shopping cart, the Customer completes the sections relating to their Customer Account, delivery method and payment method.
5.3.4 Every Order must be approved by UTO, as evidenced by the Customer receiving an email confirming such approval.
5.3.5 UTO also reserves the right to review, accept or refuse on a case-by-case basis any Order for delivery outside Metropolitan France, particularly in view of the specific legislation applicable in the relevant country, which the Customer expressly acknowledges and accepts.
5.3.6 If an Order is refused by UTO in this context, the Customer will be informed as soon as possible and, where applicable, UTO will refund any amount already paid and debited.
5.4 Payment
5.4.1 Delivery of the Products and performance of the Services are subject to completion and validation of the online payment of the price indicated during the Order process on the Website.
5.4.2 Payment for Products and Services must be made online via the Website by bank card or PayPal. Any request to pay using another payment method may be refused by UTO. If you use a bank card belonging to another cardholder, you confirm that you have their authorisation to use that bank card to make the purchase from UTO and complete the payment. If your card issuer refuses to approve the payment, UTO cannot be held liable for any delay in delivery and/or non-delivery of your Order.
5.4.3 All prices shown on the Website are inclusive of VAT and stated in euros. They do not include delivery charges, which are invoiced separately and indicated before the Order is confirmed. Prices include the VAT rate applicable on the date of the Order and any change to the applicable VAT rate will automatically be reflected in the price of the Products in the online shop. Payment of the full price must be made at the time of the Order. At no time shall amounts paid be considered a deposit or down payment.
5.4.4 Shipping charges will be indicated and added to the total amount of the Order whenever an Order is placed by the purchaser. The amount of the shipping charges will vary depending on the destination of the Order.
5.4.5 Deliveries of Products outside France may be subject to taxes and customs duties. Any customs duties and taxes associated with delivery of the Products shall be borne by and remain the sole responsibility of the Customer. UTO is not required to verify or inform Customers of applicable customs duties and taxes depending on the country of delivery. UTO advises the Customer to obtain information from the competent authorities in the country of delivery.
5.4.6 UTO reserves the right to amend its prices at any time, it being understood that the price indicated on the date of the Order shall be the only price applicable to the Customer.
5.4.7 At the payment stage, the Customer may enter any gift code or discount code in their possession. No promotional code may be combined with the Evening promotion. Any invalid code or any other form of discount requested by the Customer may be refused by UTO.
5.4.8 Once the payment details have been entered, the Customer is invited to review and confirm the Order.
5.4.9 The Customer’s bank card shall only be charged once the Order has been approved by UTO in accordance with Article 5.3.4.
5.4.10 UTO offers its Customers Alma’s credit service for the payment of their purchases and processing of payment. This is subject to the Customer accepting Alma’s terms of use or the credit agreement offered by Alma. Any refusal by Alma to grant credit for an Order may result in cancellation of the Order.
Any termination of the General Terms and Conditions binding the Customer and the Seller shall result in termination of the terms of use or credit agreement between Alma and the Customer.
Payment in two, three or four instalments is available through our partner Alma. Payment security is provided by Alma and its service providers. All payments are protected by 3D Secure.
Purchase amount: Only purchases between €100 and €2,500 are eligible for payment with Alma.

Alma acts as an electronic payment management service and issues an electronic certificate which shall constitute proof of the amount and date of the transaction in accordance with Articles 1316 et seq. of the French Civil Code.
Termination: Any termination of the General Terms and Conditions binding UTO and the Customer shall result in termination of the terms of use between Alma and the Customer.
5.4.11 UTO offers its Customers Younited’s credit service for the payment of their purchases and processing of payment. This is subject to the Customer accepting the credit agreement offered by Younited.
UTO (ORIAS no. 517586376) acts as a non-exclusive intermediary in banking transactions on behalf of Younited. UTO assists with the completion of credit transactions without acting as a lender or insurance broker.
Any refusal by Younited to grant credit for an Order may result in cancellation of the Order.
Any termination of the General Terms and Conditions binding the Customer and UTO shall result in termination of the credit agreement between Younited and the Customer.
The amount is paid using credit granted by Younited, registered with REGAFI under number 13156 and authorised as a credit institution by the Autorité de Contrôle Prudentiel et de Résolution (ACPR) – 4 Place de Budapest – CS 92459 – 75436 PARIS CEDEX 09 – acpr.banque-france.fr.

6. Delivery
6.1 Bicycle delivery (France only)
6.1.1 Products presented on the Website may be available for “Click & Collect” delivery as soon as your shopping cart contains at least one bicycle.
6.1.2 When selecting a Product to purchase, you will be asked to choose your preferred store from which to collect your Order. This delivery option is available in France only.
6.1.3 Delivery times generally observed are usually no more than 10 working days, subject to confirmation of the Order. Any delay beyond this period shall not entitle the purchaser to damages, withholding of payment or cancellation of the Order.
6.1.4 Delivery times indicated on the Website assume that the relevant Product is in stock. If a Product you have ordered is not in stock, we will inform you as soon as possible and provide an estimated date on which the Product will be shipped. If you do not accept the new shipping date, you will have the right to cancel your Order and receive a refund.
6.1.5 The store you have selected will inform you directly once your Product is ready for collection. You may collect your Product within 15 (fifteen) days. If you have not collected your Product within this period, we will attempt to contact you for further instructions and may charge reasonable storage fees and, where applicable, any resulting delivery charges. If, despite our reasonable efforts, we are unable to contact you or reorganise collection of the Order or delivery, we shall be entitled to cancel your Order and refund the price paid, less any losses incurred.
6.1.6 Please note that you will be required to provide your Order number and proof of identity when collecting your Order.
6.1.7 Once you have collected your Product, the risk relating to that Product transfers to you and you become responsible for its safekeeping.
6.2 Delivery of accessories
6.2.1 Products will be delivered to the address provided by the Customer to UTO when placing the Order, throughout Europe.
6.2.2 If all or part of the information required for delivery proves to be incorrect, requiring the carrier to return the Products to UTO, the Customer shall bear the associated costs and consequences.
6.2.3 Delivery times generally observed are usually 48 to 72 hours for France and depend on the delivery times announced by the carrier for Europe. These periods are nevertheless provided for guidance only and may vary depending in particular on the delivery location and delivery method selected. Any delay beyond these periods shall not entitle the purchaser to damages, withholding of payment or cancellation of the Order.
6.5 Delivery times announced when the Order is placed are stated in working days and are subject to confirmation of the Order.
6.6 Delivery times indicated on the Website assume that the relevant Product is in stock. If a Product you have ordered is not in stock, we will inform you as soon as possible and provide an estimated shipping date. If you do not accept the new shipping date, you will have the right to cancel your Order and receive a refund.
6.7 In the event of a delivery error, the consumer must notify UTO, on the day of delivery or no later than the first working day following delivery, of any claim relating to a delivery error and/or non-conformity of the Products in nature or quality compared with the information shown on the Order confirmation. Any claim made after this deadline will be rejected. Claims must be submitted to the following address: hello@utobikes.com.
7. Services
7.1. The Customer may subscribe to Services via the Website. Where applicable, the Customer undertakes to accept the contractual terms of the relevant Partner.
7.2. The Customer is reminded that the Services are not provided by UTO but by its Partners, with whom the Customer will enter into a contractual relationship.
8. Right of withdrawal
8.1. In accordance with the provisions of the French Consumer Code, the Customer, if acting as a consumer, benefits from a right of withdrawal.
8.2. The withdrawal period expires 14 (fourteen) calendar days after the day on which the Customer, or a third party appointed by the Customer other than the carrier, takes physical possession of the Products. Where the Products are delivered in several batches or separate pieces, the withdrawal period expires 14 (fourteen) calendar days after the day on which the Customer takes physical possession of the final batch or piece.
8.3. The Customer may submit a return request directly from their customer account, accessible at the following address:

After logging in using their email address and the verification code sent by UTO, the Customer may select the relevant Order, the Products to be returned and the reason for the return.
Once the return request has been submitted, UTO will review it and inform the Customer whether it has been accepted or refused.
Where the return request is accepted and physical return of the Products is required, the Customer will receive return instructions and, where applicable, a return label.
Where the return results from the exercise of the right of withdrawal, an ordering error made by the Customer or, more generally, an error attributable to the Customer, the direct return costs shall be borne by the Customer. Where UTO provides the return label, these costs are set at €5.99 including VAT for a return from Metropolitan France and €7.99 including VAT for a return from another European country served by UTO. These amounts correspond to UTO’s standard shipping charges and may be deducted from the amount refunded to the Customer.
Where the return results from an error attributable to UTO, in particular where a Product that does not correspond to the Order has been shipped, the return costs shall be fully borne by UTO. The provisions applicable to defective or non-conforming Products under the statutory guarantees shall remain fully applicable.
The refund will be processed in accordance with these General Terms and Conditions of Sale after receipt and inspection of the returned Products.
8.4. The Customer must return the Products in their original packaging or in packaging provided by UTO, without undue delay and in any event no later than 14 calendar days from the day on which the Customer informed UTO of their withdrawal from the contract. The deadline is met if the Customer sends the Products before the expiry of the 14-calendar-day period.
8.5. Products must be returned unused, undamaged and in perfect condition to the following address: UTO, 6 rue Georges Besse, 69740 Genas, France.
The Customer shall be liable for any diminished value of the goods resulting from handling other than that necessary to establish the nature, characteristics and functioning of the Products. Installing the pedals and adjusting the handlebars or saddle may cause minor scratches. Since such actions are not necessary to determine the nature, characteristics and functioning of the bicycle, the Customer shall be liable to UTO for any reduction in value resulting from such actions.
8.6. Returns that do not meet these criteria will not be refunded and shall remain available to the Customer at UTO’s premises.
8.7. UTO will refund the purchase price of the Products in accordance with the terms and deadlines provided for by the French Consumer Code. UTO may withhold the refund until the Products have been recovered or until the Customer provides evidence that they have been sent, whichever occurs first.
8.8. UTO will make the refund using the same payment method used by the Customer for the original transaction, unless UTO and the Customer expressly agree otherwise.
9. Transfer of ownership
9.1 Ownership of the Products shall only transfer from the Seller to the Customer once the Customer has paid the price in full, irrespective of the date on which the Products are delivered.
9.2 Irrespective of the date on which ownership of the Products transfers, the risk of loss of or damage to the Products shall only transfer when the Customer takes physical possession of them. The Products therefore travel at the Seller’s risk.
10. Liability and guarantees
10.1. Unavailability of Products
If an ordered Product is unavailable, particularly due to our suppliers, the consumer will be informed as soon as possible and may either cancel or amend their Order. In the event of cancellation, we undertake to refund the Customer as soon as possible or convert the amount into a voucher.
10.2. Guarantee
10.2.1 The frame is guaranteed for 5 years from the invoice date, the electrical system is guaranteed for 2 years from the invoice date and the battery is guaranteed for 2 years from the invoice date.
10.2.2 By registering your bicycle, you benefit from an additional 5-year warranty extension. Your bicycle frame and fork will therefore be covered for a total of 10 years. The warranty for the motor, battery, controller and display remains unchanged and is limited to 2 years from the date of purchase. To benefit from the warranty extension, please complete the form here. Your bicycle may be registered at any time after purchase.
10.2.3 The warranty does not apply if the instructions for use, maintenance and any other instructions contained in the user manual have not been complied with. The warranty therefore applies only to use under normal operating conditions (excluding rental or any other professional use) and does not cover damage resulting from improper use (two people using the bicycle at the same time, overloading, jumps, etc.), failure to comply with precautions for use or an accident.
10.2.4 The warranty does not cover damage to parts showing visible signs of impact where the cause is unrelated to the quality of the bicycle (accident, impact, fall, etc.).
10.2.5 The warranty does not cover damage caused by repairs or modifications carried out by the user or an unauthorised technician. Modifying any bicycle component (frame and/or part, including paintwork) may result in serious injury.
10.2.6 The warranty does not cover damage resulting from improper maintenance.

10.2.8 The warranty does not apply to vehicles that have been derestricted. The bicycle is considered derestricted if its motor provides power exceeding 250 W and if the electric assistance does not cut off once the bicycle exceeds 25 km/h.
10.2.9 If the Customer is a consumer within the meaning of the French Consumer Code, the Customer may exercise the legal guarantee of conformity provided for under Articles L.217-1 et seq. of the French Consumer Code for a period of two years from delivery of the Products. The Customer may choose replacement of the Products. The Customer is not required to prove the existence of the lack of conformity during the 24 months following delivery of the goods.
10.2.10 The Customer may also invoke the warranty against hidden defects in the Products within the meaning of Article 1641 of the French Civil Code. If the Customer wishes to do so, they have a period of two years from discovery of the defect to bring a claim against UTO.
10.2.11 In such a case, the Customer may choose between termination of the contract or a reduction in the price in accordance with Article 1644 of the French Civil Code.
11. Force majeure
11.1. Neither Party may be held liable where performance of one of its obligations is prevented or delayed due to an event of force majeure, as assessed by case law and defined under Article 1218 of the French Civil Code, including in particular natural disasters, fires, acts, decrees, laws, regulations or restrictions imposed by governments (including those implemented in connection with epidemics or pandemics), or failures or interruptions affecting telecommunications or electricity networks.

13. Waiver
13.1. UTO’s failure to exercise any right or enforce any provision of these General Terms and Conditions shall not be interpreted as a waiver of its right to exercise or enforce that right or provision at a later date.
14. Applicable law
14.1 These General Terms and Conditions are governed by French law. This applies both to substantive and procedural rules. In the event of a dispute or complaint, the consumer shall first contact UTO in an attempt to reach an amicable solution.
15. Other UTO General Terms and Conditions
15.1 Evening Origins – Promotion
15.1.1 The promotion applies exclusively to the purchase of an Evening bicycle in-store or online. The price of the Evening is therefore reduced from €2,099 to €1,899.
15.1.2 The promotion begins on Monday, 1 October 2024. UTO reserves the right to adjust the end date of the promotion depending on demand and product availability. Any adjustment will be communicated on the Website.
15.1.4 Participation in the promotion is subject to these General Terms and Conditions.
15.1.5 No promotional code may be combined with the promotion.
15.2 Black Week – Promotion
15.2.1 For the purchase of any UTO bicycle, regardless of the model, an Abus lock worth €100 will be provided free of charge.
15.1.2 The promotion runs from Monday, 25 November 2024 to 2 December 2024. UTO reserves the right to adjust the end date of the promotion depending on demand and product availability. Any adjustment will be communicated on the Website.
15.1.4 The offer is valid online and in-store in the following countries: France, Belgium and Germany. To benefit from the offer in-store, bicycle registration is required. You will then receive a promotional code allowing you to obtain the lock free of charge.
15.1.5 Participation in the promotion is subject to these General Terms and Conditions.
15.1.6 No promotional code may be combined with the promotion.
